Mutual Non-Disclosure Agreement

This Agreement is between Olive Power Corp. (“Olive Power”) and {client_name} (“Participant”), effective {effective_date}.

1. Purpose. The parties may exchange confidential information to evaluate a potential AI infrastructure, energy, site-development or related business relationship (“Purpose”).
2. Confidential information. This includes nonpublic technical, financial, commercial and project information disclosed for the Purpose that is marked confidential or reasonably understood to be confidential, including materials derived from it. It excludes information the recipient can demonstrate was already lawfully known, becomes public without breach, is independently developed, or is lawfully received from another source without a confidentiality obligation.
3. Protection and use. Each party will use the other’s confidential information only for the Purpose and protect it with reasonable care. Disclosure is permitted only to employees, advisers and contractors who need to know and are bound by confidentiality duties at least as protective as this Agreement. Each party is responsible for their compliance. If disclosure is legally required, the recipient may disclose only what is required and, where legally permitted, will give prompt notice and reasonable assistance in seeking protection.
4. Return or deletion. On written request, each party will return or delete the other’s confidential information, except copies required by law or retained in routine backups. Retained information remains protected and may not be used for another purpose.
5. Duration. This Agreement covers disclosures made during the two years after its effective date. Confidentiality and use restrictions continue for three years after each disclosure; trade secrets remain protected for as long as they qualify as trade secrets under applicable law.
6. No project commitment. Each party retains ownership of its information. No intellectual-property license, exclusivity, purchase obligation, LOI or project commitment is created. Information is provided without a warranty of accuracy or completeness. Either party may end discussions at any time.
7. General terms. Either party may seek injunctive relief for a breach, subject to applicable law. This Agreement is the entire confidentiality agreement for the Purpose; amendments require both parties’ written agreement. Electronic signatures and electronic acceptance of this Agreement are valid and binding.
